Terms & Conditions For Invoiced Orders

 

Definition

Seller refers to The Toad Hall Company, to whom the order for purchase has been given.

Client refers to the person or organisation named as above, placing the order.

Goods or services refers to the product for which the seller has placed an order with the client.

 

Application

The terms and conditions are valid for any goods or services provided by the Seller to the Client.

Payment

All invoices of the Seller shall be paid by the Client within 30 days of the date of invoice.  In the event of late payment, the Seller may charge interest on the amount outstanding equal to 8% and then for each consecutive 30 day period there after.  The Seller may also impose an administration charge of £40 where payments are overdue.  If any amount of the invoice is disputed by the Client, the Client shall inform the Seller of the grounds for such dispute within seven days of the invoice date and shall pay to the Seller the value of the invoice less the disputed amount in accordance with these payment terms.  If full payment of goods is not received within three months of the original invoice date the Seller shall, without further notice, begin legal action to recover the debt, all court costs and statutory interest of 8% above the Bank of England base rate (fixed for the six month period within which date the invoice became overdue) pursuant to the late payment legislation to be borne by the Client.

 

Delivery

Delivery by the Seller will be deemed to have taken place when the goods are signed for at the address provided by the client. Any alternative delivery addresses must be specified in writing by the client and approved by the seller in writing.  The Seller will be entitled to charge the Client for any expenses of delivery other than normal postage charges.

 

If an order is, at the Client's request, sent electronically, the time recorded on the sending equipment shall be deemed the time of delivery, system delays notwithstanding. (nb - electronic dispatch can be provided only on request and at the Client's risk. The Seller reserves the right to substitute conventional delivery methods without notice or penalty should electronic dispatch prove inconvenient.)

Refunds

Refunds may be permitted by the Seller where damages or shortages to orders have occurred, but only if the client has made the seller aware in writing within 7 days of delivery of the goods.  In these circumstances the Client will be reimbursed for any postage costs they incur returning the goods.  All other refunds will only be granted at the discretion of the Seller.
